Art. 1 — Purpose and status of this document
1.1 What this document does
IndustryUX can be bought in three modes: Online, Enterprise Online and Enterprise On-Premise / VPS. This document explains, in plain commercial language, what each mode includes, how it is priced, who may buy it and which contractual documents govern it, so that the right mode can be chosen before any negotiation starts.
1.2 What this document is not
This document is informational. It creates no obligation, amends no contractual document and is not an offer. The binding terms are those of the Master Subscription and Licence Terms, of the applicable Schedule and of the Order accepted by both parties. Where any statement here differs from those documents, those documents prevail; prices become binding only once they appear in an accepted Order.
Art. 2 — The word "Enterprise": one family, two delivery models

2.2 How the word is to be read
"Enterprise" designates the family of offerings governed by the Enterprise Schedule (Schedule B, IUX-EN-20), and it covers, on one side, the Business and Enterprise Online plans, which are bought on the platform but are governed by the Enterprise Schedule and are executed with the signature of the contract and of the mutual non-disclosure agreement before payment, and, on the other side, Enterprise On-Premise / VPS, which is sold exclusively through the Contact Us channel, with offline negotiation. They share the same contractual base and the same annexes, and differ in where the software runs, in the licence metric and in the price basis. When a document or a commercial presentation says "Enterprise" without a qualifier, it refers to the whole family; anything specific to one offering always carries its name. Any earlier commercial material in which the business plan was called "Pro", in which the dedicated cloud was called "Enterprise Cloud" or in which "Enterprise" designated a single delivery model is superseded by this convention.
2.3 Business and Enterprise Online are bought on the platform, but they are not shop plans
Business, at € 149,00 per month, and Enterprise Online, at € 249,00 per month, are reserved to businesses: a VAT number is required at checkout and consumers cannot buy them. They are ordered on the platform, without negotiation, but the terms that govern them are those of the Enterprise Schedule (Schedule B, IUX-EN-20), and not the consumer provisions of the Shop Schedule (Schedule A, IUX-EN-10). Before payment is enabled, the contract and the mutual non-disclosure agreement are signed: with a qualified electronic signature, before the checkout, for customers established in the European Union, and with a one-time password flow for customers established elsewhere, as described in Art. 7. Cancellation of a Business subscription takes effect at the end of the current billing period, without the sixty days' notice that applies to Enterprise Online, On-Premise and VPS.
Art. 3 — Mode 1: Online, self-service on the shop
3.1 What it is
A subscription activated in minutes on the platform, without negotiation, with the functional scope, the limits and the allowances stated on the plan page at the time of the order. The Trial and Base workspaces are hosted in the shared IndustryUX cloud with 2 GB of storage; the Business plan runs in a dedicated environment with 4 GB of storage, expandable. In every case the customer administers no infrastructure.

Annual billing of the plan fees is available at the conditions of the price list published on the platform.
3.3 How it is priced
A subscription fee, monthly or annual, at the rate published in the shop when the order is placed, plus prepaid credits for the metered features: chart traces, documents, media and project exports are charged as consumption, according to the applications included in the plan (Trial and Base: limited 3D Builder only), and are not included in the fee. Prepaid credits are the Tokens of the Master Subscription and Licence Terms, in the denomination used in the shop, and the unit price is the one published in the shop at the time of the order; they are credited to the wallet of the account, because the Online mode carries no licence per machine, and the Base and Business plans spend them directly, within the functional limits of the plan. They are usable for 24 months from the day they are credited and are consumed oldest first; a reminder is sent by email 60 days and again 30 days before the expiry date. Once those 24 months have run, a business customer loses the part that has not been consumed, while a consumer may ask for it back at the unit price actually paid, and the refund is given effect within 14 days. They are the same contractual unit as the tokens of the enterprise modes, but they do not follow the same regime: the enterprise tokens are bound to a single machine, as described in Art. 4.3 and in Art. 5.2, and neither this 24-month validity nor this refund applies to them. There is no volume discount on the Online mode.
3.4 How it is bought and what protects a consumer
For the Trial and Base plans the contractual documents are accepted with the two-act one-time password at the end of the registration of the account, as described in Art. 7.2, and each individual order is then concluded online with the sole button reading "Order with obligation to pay". For the Business and Enterprise Online plans the contract and the mutual non-disclosure agreement are signed before payment, as described in Art. 7. Consumers who buy Trial or Base keep every mandatory protection: a right of withdrawal of 14 days, the legal guarantee of conformity of 24 months, at least 24 months of updates for one-shot components, an email notice 30 days before any automatic renewal and cancellation available self-service at any time. Where a subscription is withdrawn from after execution has begun, only the part already performed is charged, on a pro-rata basis.
Art. 4 — Mode 2: Enterprise Online
4.1 What it is
A dedicated and isolated environment, created, operated, updated and monitored by DevIBrain, with 5 GB of storage, expandable. All applications are available and are accessed and managed through the License Manager, which manages job orders, machines and projects and issues the machine licences; the library is shared across the applications of the same account, and chart traces, documents and media are covered by the token allowance instead of being billed as extras. The subscription includes one named user seat in addition to the account holder; further seats are available at the price list. The customer manages no infrastructure.

The Dedicated Hosting Base and Plus tiers of the earlier price list no longer exist: Enterprise Online has this single subscription fee. Annual billing is available at the conditions of the price list; where an annual figure is needed, the subscription amounts to € 2.988,00 per year.
4.3 Prepaid token packages, bound to a machine
One token has a nominal value of € 0,10. Packages are prepaid and are credited to the wallet of a given machine; larger packages lower the effective unit price down to € 0,075 per token.

Volumes above the XL package are quoted on request. The indicative entry point of the mode is therefore € 3.338,00 for the first year: the subscription at € 2.988,00 per year plus one XS package at € 350 for the first machine.
Tokens credited to the wallet of a machine remain permanently bound to that machine. They may be spent on anything that concerns that same machine — a further export, an additional property on a project already exported, an AI component, any other metered activity of that machine — for as long as the customer operates that machine with the Software, and the package is therefore sized on the working life of the machine and not on a single export. They are never transferred to another machine, never pooled across a fleet, never moved between the customer and its affiliates and never turned into money, into a credit spendable elsewhere or into a refund, save for the rights that the law does not allow to be excluded. Replacing the control hardware of the same machine is not a transfer: the wallet follows the identity of the machine, provided the identifier is updated in the Console, in accordance with clause 4.3 of the Enterprise Schedule (Schedule B, IUX-EN-20). Where a machine is decommissioned, the tokens left in its wallet stay bound to it and cease to be usable, without credit and without refund.

4.5 Volume discounts
The discount depends on how many token packages are contained in the same Order, and on no other quantity.

4.6 Commercial terms
Reserved to businesses; the contract and the mutual non-disclosure agreement are signed before payment, as described in Art. 7. Term of 12 months with tacit annual renewal, terminable with 60 days' notice before expiry. Payment in advance, by bank transfer or payment card, before activation. Availability is covered by the Service Level Agreement: 99,5% per month as the standard target, or 99,9% with the Premium option, priced at 15% of the recurring fees (subscription fees or, for On-Premise and VPS supplies, the On-Premise Service Fee due for the machines covered, excluding consumption) in accordance with Art. 3.5 of the Service Level Agreement. Any price change is notified 60 days in advance and gives a right to terminate. Tokens follow the machine to which their wallet belongs, as stated in Art. 4.3: they are spent on the operations of that machine and are not converted into a proportional credit, into a transfer to another machine or into a refund, whether the contract ends or the customer switches to another mode or provider, save for the rights that the law does not allow to be excluded.
Art. 5 — Mode 3: Enterprise On-Premise / VPS
5.1 What it is
The software is installed on infrastructure controlled by the customer: either on the customer's own physical servers, or on a dedicated virtual private server. The data stay inside that perimeter, and there is no shared cloud and no hosting fee. All the applications are available, exactly as in the other modes, and the mode is paid with an annual service fee per machine and with the same prepaid token packages as the Enterprise Online mode, which pay for the consumption of the components installed on each machine. The mode is sold exclusively through the Contact Us channel of the platform: there is no checkout, the platform refers the prospect to the contact form, and negotiation and invoicing are handled directly with the customer's purchasing office.
5.2 What is paid: a service fee per machine and a token package per machine
The mode has two economic components, and there is no licence per application: every application is accessible in every mode, and nothing is priced application by application.

The service fee is fixed and is never discounted, in the same way as the Enterprise Online subscription fee. The token packages are those of clause 8.2 of the Enterprise Schedule and are consumed by the components of the applications according to the catalogue of clause 8.3 of that Schedule. The tokens of a package are bound to the machine of their wallet on the same terms as in Art. 4.3: they are spent on any activity of that machine, they follow it when its control hardware is replaced, and they are never transferred to another machine nor turned into a credit or a refund.
A machine equipped with an M package therefore costs € 1.500 of service fee plus € 1.530 of tokens, that is € 3.030 for the contract year before the quantity discount; the same machine costs € 1.850 with an XS package and € 4.050 with an L package.
5.3 Minimum commitment and volume discounts
The mode is activated from a minimum of 100 machines per contract year, which is € 150.000 per year of service fee, to which the token packages of those machines are added.
Discounts work in one way only, the same way as in the Enterprise Online mode. The size discount is already contained in the price of the packages, and the quantity discount of Art. 4.5 is applied, up to -25%, on the token packages contained in the same Order. The service fee is not discounted, and the number of machines is not a basis of computation. The marginal ladder per application of the earlier price list no longer exists: it is replaced by that single mechanism, which is now common to both enterprise delivery models.
At the maximum discount, a machine equipped with an M package therefore costs € 1.500 of service fee plus € 1.147,50 of tokens, that is € 2.647,50 for the contract year.
5.4 Physical On-Premise and VPS are not the same thing
In the physical On-Premise variant DevIBrain may supply the server on free bailment: the machine remains the property of DevIBrain, the customer keeps it in a suitable environment and bears the running costs, and at the end of the relationship the server is collected and a backup of the final deliverables is released, never the IndustryUX source projects. In the VPS variant there is no bailment and nothing is collected: infrastructure service levels, data location, backup and the effects of termination are governed by the virtual private server provisions of Article 27 of the Enterprise Schedule (Schedule B, IUX-EN-20).
5.5 How the licences are counted and verified
Each licence is represented by a signed grant, issued by the DevIBrain Console and registered on the License Manager. The grant is the technical record used for the annual true-up between declared and installed machines and for any audit, so the count never rests on a declaration alone. Installations continue to work offline for a grace period of 30 days before a grant has to be revalidated. Audits are announced 30 days in advance, take place at most once per year and are performed remotely wherever possible.
5.6 Commercial terms
Reserved to businesses, and sold only through the Contact Us channel, with offline, admin-driven execution as described in Art. 7. Term of 12 months on a calendar-year basis with tacit annual renewal, terminable with 60 days' notice before expiry. The first period is invoiced 30% on signature, 30% after the first acceptance test and 40% on completion; from the following year the committed volume is invoiced half-yearly, on 1 January and on 1 July, in blocks of 50 machines. Support levels are covered by the Service Level Agreement; availability targets that depend on infrastructure apply to the VPS variant only, since in the physical variant the infrastructure is under the customer's control. The Data Processing Agreement is signed for every variant, including this one; its scope of application to this mode is the one set out in Article 16 of that agreement, so that it operates where DevIBrain actually accesses personal data in the clear, as happens during a support session on the customer's systems.

6.2 Moving from one mode to another
The choice is not a one-way door. The Master Terms grant a documented exit and switching process: the transition starts within a notice of no more than two months, it is completed within 30 days, the data remain retrievable for a further 30 days afterwards, and no switching charge is applied.
What has already been prepaid follows two distinct regimes, which are not to be confused with one another. The prepaid credits of the account wallet, which is the wallet of the Online mode, follow the Shop Schedule: they are usable for 24 months from the day they are credited and are consumed oldest first, and separately from that validity the part not consumed on a withdrawal, a cancellation, a termination or a switch is credited or refunded, with no forfeiture, within the periods already applicable, that is 30 days for a business customer and 14 days for a consumer. The tokens credited to the wallet of a machine, in the Enterprise Online and Enterprise On-Premise / VPS modes, remain bound to that machine under Art. 4.3: they are spent on that machine and do not become a credit spendable elsewhere, on a switch no more than at any other time.

Evidence of acceptance is retained for 10 years in tamper-evident form. In every mode the relationship is governed by Italian law, with the exclusive jurisdiction of the Courts of Bergamo for business customers; consumers keep the courts and the mandatory protections that the law reserves to them.
Art. 8 — Figures, currency and status of this text
8.1 Currency and number format
All amounts are in euro and exclude VAT and any other applicable tax. Figures follow the Italian convention, in which the dot separates thousands and the comma separates decimals: € 1.530,00 means one thousand five hundred and thirty euro.
8.2 Validity of the figures
The plan fees and the Enterprise Online and Enterprise On-Premise figures reproduce the current price list. The consumption of the Online mode depends on the unit price of the prepaid credits published in the shop at the moment of the order, which is why this document states the pricing structure of that consumption rather than an amount. The indicative costs per machine in Art. 6 are arithmetical examples built on the tables of Art. 4 and Art. 5, offered for comparison only: the amounts that bind the parties are exclusively those of the accepted Order.
8.3 Validation
This text is a version 1.2 release candidate. Before it is used with real customers it must be validated by a qualified lawyer and, as regards the data protection statements, by a qualified data protection officer. It is an internal work product and does not constitute legal advice.
